PLEASE READ THESE TERMS CAREFULLY. BY ACCESSING OR USING SWITCH LOCK, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE OUR SERVICES. THESE TERMS CONTAIN A BINDING ARBITRATION PROVISION AND A CLASS ACTION WAIVER THAT AFFECT YOUR LEGAL RIGHTS.
By accessing, downloading, installing, or using the Switch Lock platform, software, website, or any related services (collectively, the "Services"), you agree to these Terms and Conditions ("Terms"). Switch Lock ("we," "our," or "us") reserves the right to modify these Terms at any time, in our sole and absolute discretion, without prior notice. Your continued use of the Services constitutes your unconditional acceptance of any changes.
YOU EXPRESSLY UNDERSTAND AND AGREE THAT YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK. The Services are provided on an "AS IS" and "AS AVAILABLE" basis. To the maximum extent permitted by applicable law, Switch Lock expressly disclaims all warranties, representations, and conditions of any kind, whether express, implied, or statutory, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, non-infringement, security, reliability, timeliness, and performance.
Switch Lock makes no warranty that (i) the Services will meet your requirements, (ii) the Services will be uninterrupted, timely, secure, or error-free, (iii) the results obtained from the use of the Services will be accurate or reliable, or (iv) the quality of any products, services, information, or other material purchased or obtained by you through the Services will meet your expectations.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SWITCH LOCK, ITS FOUNDERS, DIRECTORS, EMPLOYEES, AFFILIATES, AGENTS, OR LICENSORS BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, FIAT CURRENCY, DIGITAL ASSETS, OR OTHER INTANGIBLE LOSSES (EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES).
This limitation of liability applies whether the alleged liability is based on contract, tort, negligence, strict liability, or any other basis. You agree that your sole and exclusive remedy for any dispute with Switch Lock is to stop using the Services. Under no circumstances will our total liability to you for all claims arising out of or relating to your use of the Services exceed One US Dollar ($1.00 USD) or the lowest amount permitted by the governing law, whichever is less.
Switch Lock is a software platform and infrastructure provider. We act solely as a technology intermediary. We are not a bank, broker, investment advisor, or financial institution. You acknowledge and agree that:
You agree to fully defend, indemnify, and hold harmless Switch Lock, its founders, officers, directors, employees, and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs, debts, and expenses (including but not limited to attorney's fees) arising from: (i) your use of and access to the Services; (ii) your violation of any term of these Terms; (iii) your violation of any third-party right, including without limitation any right of privacy or Intellectual Property Rights; or (iv) your violation of any applicable law, rule, or regulation (including but not limited to Zimbabwean financial regulations, AML, and KYC laws).
We reserve the absolute right to suspend, terminate, or delete your account, and to seize, freeze, or confiscate any funds associated with your account, at any time, for any reason or no reason, without prior notice or liability to you. This includes, but is not limited to, situations where we suspect fraudulent activity, money laundering, violation of these Terms, or requests from law enforcement.
Switch Lock shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including, but not limited to, acts of God, war, terrorism, riots, embargos, acts of civil or military authorities, fire, floods, accidents, network infrastructure failures, power outages, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.
These Terms shall be governed by and construed in accordance with the laws of Zimbabwe, without regard to its conflict of law principles. Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, shall be determined by binding, confidential arbitration in Harare, Zimbabwe. You waive any right to participate in a class action lawsuit or class-wide arbitration.
If any provision of these Terms is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties' intentions as reflected in the provision, and the other provisions of these Terms remain in full force and effect.
